Mr. Myung Heon Baek is an associate a Shin & Kim LLC, and his main business areas include disputes related to M&A, corporate governance or management, corporate criminal litigation, real estate, corporate litigation on insolvency (rehabilitation, bankruptcy) and general corporate advisory services.

Since joining Shin & Kim, Mr. Baek has successfully carried out disputes on behalf of domestic and foreign companies and their shareholders or executives in various industries such as automobiles, telecommunications, pharmaceuticals, real estate development, asset management, securities, insurance, sports and entertainment. In particular, he has secured numerous victories for his clients in lawsuits relating to, inter alia, white-collar crimes such as embezzlement, breach of trust and violations of the Financial Investment Services and Capital Markets Act, management-related disputes between shareholders and claims for damages caused during the course of M&As.

Mr. Baek earned a bachelor's degree in economics from Seoul National University and a Juris Doctor from Korea University Law School. He also completed doctoral coursework in law at Korea University School of Law. Before joining Shin & Kim LLC, he worked as a public interest advocate at district and high prosecutors' offices where he handled state and administrative litigation, appeals, and legal aid cases. Furthermore, as an active scholar, Mr. Baek has published numerous academic papers and case commentaries in KCI-listed journals and regularly participates in the Annual Symposium of the East Asian Association of Insolvency and Restructuring, which is hosted by the Insolvency Law Institute of Korea. Additionally, he completed a visiting scholar program at Fordham University School of Law in 2025.

• Represented a large private equity fund manager for breach of representations and warranties under the share transfer agreement (W&I Claim).
• Represented the largest shareholder of a biopharmaceutical company seeking a penalty for breach of the share transfer agreement.
• Represented KG Mobility (formerly SsangYong Motor) and won case of claim for return of contract deposit of around KRW 30 billion related to the rehabilitation procedure M&A.
• Represented the largest shareholder of Lion Chemtech and won the case of damage compensation and penalty for breach of the share transfer agreement.
• Represented Kakao Ventures in a case of the former CEO demanding KRW 60 billion in performance-based compensation.
• Represented a domestic publishing company and won a lawsuit filed by its former CEO seeking severance pay
• Shareholder derivative action on behalf of current and former executives of Korea’s largest telecommunications company.
• Represented a company in a shareholder derivative lawsuit filed by the second-largest shareholder of a membership-based golf club
• Shareholder status confirmation litigation on behalf of the largest shareholder of a developer.
• Cancellation lawsuits of trust registration related to urban development projects on behalf of a developer.
• Represented an SPC established by IBK Asset Management to claim settlement payments related to ESS batteries.
• Represented a domestic asset-backed securitization company and won the case of claim for return of unjust enrichment related to the repayment of rehabilitation security rights.
• Represented Adidas Korea in denial action filed by the receiver.
• Represented CJ Cheil Jedang and CJ Logistics in consulting on the rehabilitation procedures of trading companies and litigation seeking confirmation of investigation of rehabilitation claims.
• Represented Dongbu E&C in claim for indemnity among investors in a private investment project (SOC).
• Advised foreign reinsurers such as AXA and Great Lakes regarding product recall insurance.
• Advised the Ministry of Foreign Affairs, Industrial Bank of Korea, GS Energy, SK TNS, SK Ecoplant, Kakao Piccoma, KREITs Investment Management, OBF Industry, NLCS Jeju, etc.

Management Rights Dispute

• Represented four largest shareholders of Hanmi Science in injunction against the exercise of voting rights and provided management dispute consultation.
• Represented Hanmi Pharmaceutical’s management in management dispute consultation.
• Represented OCI and won an injunction case against the exercise of voting rights filed by Kumho Petrochemical’s major shareholder.
• Represented domestic semiconductor companies in litigations on invalidation of new share issuance, injunction against exercise of voting rights, suspension of performance of duties, etc., and provided consultation on management rights disputes.
• Represented domestic steel companies, in injunction against issuance of new shares, injunction against agenda items, injunction against interference with business, etc., and provided consultation on management rights disputes.
• Advised a gas station operating company on management rights disputes and represented it in claims for provisional disposition of inspection of accounting books, cancellation of shareholders' meeting resolutions, and confirmation of invalidity of board resolutions
• Represented a company in defending against a petition for commencement of adult guardianship proceedings filed against its CEO during a management rights dispute

Criminal Cases

• Won acquittal of representative director of violation of the Act on the Aggravated Punishment, etc. of Specific Economic Crimes (Embezzlement, Breach of Trust).
• Won acquittal of fraud and occupational breach of trust related to compulsory execution based on notarial deeds.
• Won acquittal of an officer or employee of a financial institution of violation of the Act on the Aggravated Punishment, etc. of Specific Economic Crimes (PRIVATE FINANCIAL ARRANGEMENT).
• Won dismissal of 1st and 2nd detention warrant in violation of the Act on the Aggravated Punishment, etc. of Specific Economic Crimes by officers and employees of securities companies (acceptance of property through arrangement).
• Advised the CEO of a KOSDAQ-listed company on violations of the Capital Markets Act.
• Suspension of execution for the 5th violation of the Road Traffic Act (drunk driving).
• Suspension of prosecution for violations of the Act on Special Cases concerning the Punishment, etc. of Sexual Crimes.
• Non-prosecution of many cases such as perjury, litigation fraud, forgery of private documents, embezzlement, and breach of trust.
