유엔(UN) 라틴아메리카 카리브해 경제위원회(ECLAC)의 보고서는 올해 7월에 브라질의 2011년 경제성장률을 4.0%로 전망하였으나, 경제분석가들은 올해 8월에 위 성장률 전망을 3.84%로 하향 조정하였습니다. BOVESPA 지수는 S&P(Standard & Poor’s)의 미국 신용등급 강등 및 세계경제 위기의 영향으로 58,535(8월1일)에서 52,440(8월22일)으로 하락했습니다. 한편, 지속되는 인플레를 염두에 둔 브라질 중앙은행은 지난 7월 금리를 12.50%로 상향 조정했습니다. 브라질 레알화(BRL)는 미국 달러화(USD) 대비 12년 만에 최고 강세를 보였으며, 이로 인하여 브라질 중앙은행의 간섭이 불가피한 상황입니다. 또한, 브라질 정부는 환투기를 방지하기 위하여 선물거래 시장에서의 미국 달러화 매도포지션에 대하여 1%의 거래 세금을 도입하는 정책을 발표하였습니다. 규제하에서 정부 는 세율을 최고 25%까지 상향 조정할 수 있습니다.

Regarding economics and financial matters, according to a report by the United Nations Economic Commission for Latin America and the Caribbean published in July, the Brazilian economy is projected to grow 4.0% in 2011. Analysts in August have adjusted growth projections downward to 3.84%. The IBOVESPA fell from 58,535 on August 1 to 52,440 on August 22 due to global economic concerns, the downgrade by Standard & Poor’s of the United States’ debt rating and continuing concerns regarding inflation. Regarding inflation, in July the Central Bank of Brazil raised the reference interest rate to 12.50%. The Real rose to its strongest level against the US Dollar in July in 12 years, triggering Central Bank intervention. In July the Brazilian government announced the implementation of a financial trans¬actions tax of 1% on short US Dollar positions in the futures market to prevent currency speculation. Under the regulations, the government has the discretion to raise the tax to 25%.

브라질의 로펌인 Tozzini Freire에 의하면, 2012년 1월부터 브라질에 “Empresa Individual de Responsabilidade Limitada”(EIRELI)라는 새로운 법인 형태가 도입된다고 합니다. EIRELI는 일종의 1인 유한회사로, 남아메리카에서는 최초로 도입되는 법인 형태입니다.

그 밖의 법률 관련 소식에는 (i) 인프라 사업 및 연구개발 사업의 자금조달을 위하여 발행한 채권 및 담보권에 대한 외국인 투자자의 소득에 관한 원천징수세금을 일정한 경우에 면제하는 제도의 도입, (ii) (a) 회사채의 발행을 간편하게 하고, (b) 공개기업의 정기주주총회에 대한 전자기록 사용을 허가하고, (c) 이사회의 모든 구성원이 주주(사원)여야 하는 요건 규정을 폐지하는 회사법 개정, (iii) 입찰절차를 신속하게 하고 새로운 사업기회를 제공할 것으로 예상되는 2014 FIFA월드컵 및 2016년 올림픽에 관련된 사업에 적용할 공공조달 특별법의 제정 등이 있습니다.

Regarding legal matters, according to a report from Brazilian law firm Tozzini Freire, a new legal entity, the “empresa individual de responsibilidade” will be introduced in Brazil in January 2012. This new en¬tity is essentially a single member limited liability company which is being introduced for the first time in South America. Other legal developments include:

(i) elimination of withholding tax in certain circumstances on income realized by foreign investors in connection with investments in bonds and securities that are issued to finance infrastructure and R&D projects;

(ii) amendments to the Corporate Law that (a) make the debenture issuance process easier; (b) permit the use of electronic records for general shareholders’ meetings of publicly held companies; (c) eliminate the requirement that all board members of a company be shareholders; and

(iii) a special regime for public procurement proceedings related to FIFA 2014 World Cup and 2016 Olympic Games which will expedite bidding processes and is expected to create new business opportunities.
