Sae Ron Oh

Ms. Sae Ron Oh is currently a partner at Shin & Kim, and her practice focuses on general corporate matters, hostile M&A, finance, trusts, real estate, and family disputes.

Ms. Oh has extensive experience in successfully handling hostile M&A and management rights disputes and bringing such cases to the best possible conclusion. She also has a successful track record of winning many other corporate law cases. In addition, she has considerable practical experience in family law cases, including inheritance, guardianship, and divorce.

• Provided comprehensive legal counseling in response to a control dispute between the largest and second-largest shareholders of Listed Company K.
• Provided support in management control and shareholder disputes involving Group H.
• Advised on and represented numerous domestic companies in management control disputes and hostile M&A situations.
• Provided strategic legal advice on responses during general shareholders’ meetings and board of directors’ meetings.
• Represented clients in a wide range of shareholder meeting-related litigation, including petitions for court approval to convene shareholders’ meetings, injunctions prohibiting the convening of shareholders’ meetings, injunctions to permit or prohibit the submission of agenda items, injunctions to permit or prohibit the exercise of voting rights, actions to confirm the invalidity or non-existence of shareholder resolutions, and injunctions to suspend the effect of shareholder resolutions.
• Advised on and represented clients in matters involving the exercise of minority shareholder rights such as shareholder proposals, and responses to shareholder activism, including demands to inspect shareholder registers or accounting records, injunctions to suspend the performance of duties, injunction to restrain unlawful conduct, actions to dismiss directors, and shareholder derivative suits.
• Handled litigation matters related to the validity of the issuance of new shares, convertible bonds, and warrant bonds
• Filed complaints to the Financial Supervisory Service, criminal complaints, and damages lawsuits for management rights disputes
• Advised on and represented clients in disputes involving share purchase agreements, shareholder agreements (including voting agreements), appraisal rights, and the exercise of stock options.
